Terms of Service

These Terms of Service (the "Terms") govern the conditions for using "Lens Agent" (the "Service") provided by Spartax, Inc. ("we," "us," or the "Company"). Users of the Service ("Users") agree to these Terms before using the Service.

Article 1 (Application)

These Terms apply to all relationships between Users and the Company regarding the use of the Service. Separate rules or guidelines posted on the Service form part of these Terms.

Article 2 (Registration)

  1. Any person wishing to use the Service shall apply for registration by the method specified by the Company, and registration shall be completed when the Company approves such application.
  2. The Company may refuse registration if it determines that any of the following applies:
    • False information was submitted
    • The applicant has previously violated these Terms
    • The Company otherwise determines registration to be inappropriate

Article 3 (Account Management)

Users shall manage their account information at their own responsibility. Users may not transfer, lend, or share their account information with third parties under any circumstances. If login credentials match registered information, the Company may regard the use as use by the registered User.

Article 4 (Fees and Payment)

  1. Users shall pay fees designated separately by the Company for paid portions of the Service using the payment methods specified by the Company, including credit card payment.
  2. Payment processing is handled through the payment service provided by Stripe, Inc. Users also agree to Stripe's applicable terms.
  3. If a User delays payment of fees, the User shall pay late damages at an annual rate of 14.6%.

Article 5 (Prohibited Conduct)

Users must not engage in any of the following when using the Service:

  • Acts that violate laws or public order and morals
  • Acts related to criminal activity
  • Acts that destroy or interfere with the functions of the Service's servers or network
  • Acts that may obstruct the operation of the Service
  • Acts that collect or store personal information of other users
  • Unauthorized access or attempts thereof
  • Impersonating other users
  • Providing benefits directly or indirectly to anti-social forces in connection with the Service
  • Infringing intellectual property rights of the Company or third parties
  • Decompiling, disassembling, or reverse engineering the Service
  • Any other conduct the Company deems inappropriate

Article 6 (Suspension of the Service)

The Company may suspend or interrupt all or part of the Service without prior notice to Users if the Company determines that any of the following applies:

  • Maintenance inspection or updates of systems related to the Service
  • Difficulty providing the Service due to force majeure such as earthquakes, lightning, fire, power outages, or natural disasters
  • Any other case where the Company determines that providing the Service is difficult

The Company shall not be liable for any disadvantage or damage suffered by Users or third parties due to suspension or interruption of the Service.

Article 7 (Cancellation)

Users may withdraw from the Service at any time according to procedures prescribed by the Company. After withdrawal, the Company will handle User data in accordance with its Privacy Policy.

Article 8 (Refund Policy)

Due to the nature of the Service as a digital service, returns and refunds are generally not available. However, if the Service has a serious defect and the Company acknowledges it, the Company may provide a refund within a reasonable scope.

Article 9 (Disclaimer)

  1. The Company does not expressly or implicitly guarantee that the Service is free from defects in fact or law, including safety, reliability, accuracy, completeness, validity, fitness for a particular purpose, security defects, errors, bugs, or infringement of rights.
  2. The Company shall not be liable for any damages incurred by Users arising from the Service, except in cases of willful misconduct or gross negligence by the Company.
  3. The Company does not guarantee the operation of third-party services integrated with the Service, including Slack and Shopify.

Article 10 (Amendments)

The Company may amend these Terms at any time without notifying Users when the Company deems it necessary. The amended Terms become effective when posted on this page, and continued use of the Service after amendment constitutes agreement to the amended Terms.

Article 11 (Governing Law and Jurisdiction)

These Terms are governed by the laws of Japan. Any dispute relating to the Service shall be subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.
